We have repeatedly advised on M&A and restructuring processes involving spin-offs, mergers, or the establishment of new commercial law companies, as well as the creation of joint ventures. We have represented, among others, Grupa LOTOS S.A. in negotiations and the creation of the joint venture LOTOS Air BP Sp. z o.o..<\/p>\n

We have proven our effectiveness not only in mergers and acquisitions (M&A) in the strict sense, but also in transactions involving the sale of a company or an organized part thereof (AssetDeal).<\/p>\n

\"Kancelaria Legal audits<\/strong><\/h3>\n

As part of these projects, we conduct due diligence audits of acquired companies covering the full spectrum of their operations. We have audited companies operating in the energy, pharmaceutical, manufacturing, trade, and service sectors, among others. Based on the knowledge gained during the audit, we can appropriately shape the legal terms of the transaction.<\/p>\n

\"Kancelaria <\/strong>Negotiations<\/h3>\n

The Law Firm’s attorneys also negotiate packages of agreements related to M&A transactions, comprehensively regulating the cooperation between the parties to the transaction, as well as the relations of the acquired company with its market environment and authorities. Negotiations do not usually focus solely on the share purchase agreement. An important element is not only to maintain continuity in the management of the company, but also to ensure the continuation of cooperation with the business environment. When, as a result of the transaction, the company belongs to more than one shareholder, the shareholders’ agreement, which regulates the rules of joint business conduct, also begins to play a significant role.<\/p>\n

\"Kancelaria <\/strong>Intention to concentrate<\/h3>\n

We represent clients before the President of the Office of Competition and Consumer Protection when notifying the intention to concentrate. This applies to large transactions involving the acquisition or even lease of enterprises. This obligation also sometimes rests with the parties to a transaction involving the transfer of ownership of assets.<\/p>\n<\/div>
